1. Scope
These Terms and Conditions apply to all contracts concluded between UXU\A\X Design Systems Lab, LLC., [“UXU\A\X.io Lab”] and its clients concerning design, digital products, branding, strategy, software, and creative services. Deviating terms of the client shall not apply unless expressly agreed in writing.

2. Services
UXU\A\X.io Lab provides creative and technical services including but not limited to:

• Brand strategy and visual identity.

• UXU\ A\X design and dev.

• Website and digital product design.

• Development and code components.

• Design systems material and libraries.

• Consulting and creative direction.

The exact scope of services is defined in individual project agreements or proposals.

3. Conclusion of Contract
A contract is concluded when:

• A written offer from UXU\A\X.io Lab is accepted by the client, or

• Work begins following written confirmation.

4. Fees and Payment Terms

• All prices are net plus statutory VAT unless otherwise stated.

• 50% advance payment may be required before project start.

• Remaining balance is due within 14 days of invoice date.

• Late payments may incur statutory interest.

UXU\A\X Lab reserves the right to pause work in case of delayed payment.

5. Client Responsibilities
The client shall:

• Provide necessary materials and information in a timely manner.

• Ensure they have rights to supplied content.

• Review and approve deliverables promptly.

Delays caused by missing client input may result in timeline adjustments.

6. Intellectual Property & Usage Rights
Unless otherwise agreed:

• Usage rights are transferred only after full payment.

• UXU\A\X.io Lab retains the right to showcase work for portfolio and marketing purposes under client confidential agreement.

• Source files remain property of UXU\A\X.io Lab unless explicitly included in the agreement.

Third-party assets (fonts, plugins, stock material) may require separate licenses.

7. Revisions
Project proposals define included revision rounds. Additional revisions beyond agreed scope may be charged at hourly rates.

8. Liability
UXU\A\X.io Lab is liable only for intent and gross negligence. For simple negligence, liability is limited to foreseeable contractual damages.

UXU\A\X.io Lab is not liable for:

• Third-party platform changes.

• Hosting failures.

• Browser or software updates.

• Misuse of deliverables by client.

9. Termination
Either party may terminate a project in writing.

In case of termination:

• Work completed to date must be compensated.

• Advance payments are non-refundable once work has begun.

10. Confidentiality
Both parties agree to treat confidential information as strictly confidential unless disclosure is required by law.

11. Data Protection
UXU\A\X.io processes personal data in accordance with the General Data Protection Regulation [GDPR]. Further details are outlined in the Privacy Policy.

12. Governing Law & Jurisdiction
USA law shall apply. Place of jurisdiction is Indianapolis, IN, provided the client is a merchant under USA commercial law.

13. Severability Clause
If any provision of these Terms is invalid, the remaining provisions remain unaffected.
